The Governance Administrator will work closely with the executive team and volunteer leadership to provide planning, coordination, and administrative support of statewide governance functions: Council, Board of Directors, and Committees.
Key Duties and Responsibilities:
Governance
Responsible for the creation, distribution and posting online of all Board-related materials including, meeting notices and details, extensive briefing materials, presentations, minutes, and ongoing communications, that provide board and council members with the necessary reliable and accurate information related to issues and recommendations that they require in order to be well-informed in carrying out their duties.
Responsible for all aspects of the planning and execution of the FICPA Board, F&OA, and Council meetings, including dinners and other ancillary meetings; committee meetings and conference calls; and post-Board meeting debriefs between the board and senior leadership.
In partnership with the President & CEO, ensures the Institute is adhering to and in compliance with the Articles of Incorporation, By-Laws, and all governance policies and procedures. Works with external legal counsel to file updated copies of governance documents if changes occur.
In partnership with the President & CEO and Council, works in consultation with the Governance Working Group to make timely updates and edits to governance documents when needed.
Assists the CEO and Board Chair to shape a strategic agenda for all board meetings.
Ensures the FICPA board-level committees and advisory bodies are appropriately populated and accomplishing their charges.
Works with the Executive and Board Leadership on the planning and execution of the Annual Meeting of the Membership including management of the voting and proxy process.
Responsible for building and maintaining strong and productive relationships with a wide variety of diverse stakeholders.
Works with internal and external stakeholders to facilitate opportunities for members of the Council and Boards to lend their voice and expertise to the mission.
Supports the Board and Council throughout the year with all levels of engagement, communication, and service.
Upholds the trust and integrity of the governance process.
Committees
Manages the annual Committee Selection process, managing all Committee operations including the evaluation of nomination/selection processes.
Updates Committee Descriptions/Staff Liaison information (brochure, website, AM.Net).
Maintains accountability for each FICPA staff assigned to a committee including budgets, documentation of minutes and activities, etc.
Guides staff liaisons through the selection process via directives and document reviews.
Creates, distributes, and tracks Evaluations, leads Liaison call to place members, and run necessary reports in AM.Net.
Creates Director Notebooks and holds Director Calls with Staff Liaisons and prepares official member notifications of committee placements. Coordinates the publication of the Committee/Section Directory.
Responsible for maintaining committee member data in the database throughout the year and ensuring consistency with Connect and the website.
Coordinates with internal and external partners to ensure a seamless online application process for committee registrations.
Creates and reviews training documentation for staff liaisons and ensures it is current.
Other Important Duties:
Assists with oversight, operations, and services of the Executive Office.
Supports the President & CEO and Executive Business Manager with other duties as required.
Assist the FICPA with other duties needed to help drive the vision of the FICPA, fulfill our mission, and abide by our organization’s values.
Experience and Education:
Knowledge of applicable state non-profit laws and information regarding governance best practices, board status, and bylaws in order to advise on and steer decision-making while maintaining and building on the FICPA’s reputation and accountability standards.
Graduation from a college or university with an associate degree in business administration, general studies, or related field.
Intermediate to advanced experience with Microsoft Office and other computer applications (Word, Excel, Outlook, Adobe).
Preferred experience with a Board Management Software Tool such as Board Effect
3+ years of experience providing executive office support, preferably in a professional society or trade association.

Diplomacy and discretion regarding highly confidential and sensitive information.
Organized, self-directed, self-motivated, detail- and deadline-oriented.
Ability to prioritize and coordinate multiple/competing activities in a fast-paced environment and to meet critical deadlines.
Ability to travel overnight, approximately 20%.
