Southwestern Health Resources Clinically Integrated Network (SWHR CIN) is seeking to hire a Governance Coordinator to join the Legal Affairs Team.

The address is 8150 Brookriver Drive, Dallas, Texas 75247 After SWHR Covid protocol ends, this position will office at the SWHR Corporate Headquarters, 1603 LBJ Freeway, Farmers Branch, Texas 75234 Salary range is Min $26.26 - Max $46.64 – based on relevant experience As a Governance Coordinator, this posiion will coordinate key governance services for Southwestern Health Resources Clinically Integrated Network (SWHR) Board of Trustees and Committee meetings and wholly controlled entity Board/Committee meetings to ensure efficient, well executed meetings. The essential job duties of this position are:
- Coordinating and maintaining Board and Committee calendars, agenda preparation, meeting materials gathering and preparation, invitations and communications with Trustees/Directors and staff. Works collaboratively with THR Governance team and communicates extensively with partners throughout the system. Responsible for preparation, implementation, and deployment of standard Board and Committee packets and standard reports.
- Responsible for logistics of meeting including; booking and prepping meeting room, catering, set up, clean up and oversight of technology in the meeting room.
- Responsible for assisting THR Governance team with meeting materials portal (currently BoardEffect) content, adherence to the brand, organization, input of materials, logins and security of the information.
- Develops annually Governance Master Calendar of Board and Committee meetings with key stakeholders and maintains it throughout the year. Develops annually and coordinates a calendar of all reminders for meeting materials and pre-meetings with Chairs and Executive Champions and maintains it throughout the year.
- Serves as a liaison/resource within the Governance department working closely with the Executive Champions for Boards and Committees. Understands dynamics of those governance services and maintains relationships within the Governance department, Executive leadership, Board Trustees/Directors, and Committee members.
- Attends assigned Board and Committee meetings of SWHR which may require travel outside of SWHR Headquarters, and drafts minutes for those meetings. Includes management of process from draft to signature which entails tight deadline calendars and coordination of the minutes / review / approval process with attorneys and entity / Committee Senior Leadership.
- Coordinates resolutions and written consents for SWHR Boards/Committees in collaboration with the Chief Legal Officer and THR Governance department.
The ideal candidate will possess the following qualifications: - Bachelor's Degree in Business, Non-Profit, or Related field required.
- 5 years of experience in Corporate Governance working with Boards, Committees and managing confidential data required.
- 2 years of experience in Governance Meeting Coordination, i.e., Board Meeting, Committee Meeting, or Counsel Meeting highly preferred.
- Understanding of diplomatic communication while holding Executives accountable to meet deadlines for documents highly preferred.
- Experience using Microsoft Outlook to set and manage calendar appointments for groups larger than 10 highly preferred.
- Teams or other Virtual Video Conference experience highly preferred.
- High proficiency with Microsoft Office products, especially PowerPoint, Excel, Word and Outlook highly preferred.
- Experience drafting Meeting Agendas preferred.
- Board portal experience, i.e., BoardEffect, Diligent, etc. preferred.
- Certified Meeting Professional (CMP) Upon Hire preferred.
- Exceptional attention to detail and organizational skills required.
- Exceptional verbal communication and writing skills required.
- Resourceful, collaborative, proactive, team-oriented, relationship-building skills at all levels within the organization required.
